Terms of Use

Haystack Team Inc. (“Haystack”) provides legal entities (“Haystack’s Customer”) with a communications platform including collaboration and social networking tools (“Service”). The terms and conditions for the provision of the Service have been agreed in the agreement between Haystack and Haystack’s Customer. Your right as a User to use the Service is based on the agreement between Haystack and Haystack’s Customer. With regard to the Service, Haystack has obligations only towards Haystack’s Customer. For the sake of clarity, Haystack has no obligations towards the Users and these Terms of Use (“Terms”) do not create any obligations for Haystack. These Terms determine how you, as a User, may use the Service and what consequences may result from non-compliance with these Terms. By accepting the Terms, the User is deemed to have read and understood the Terms and agrees to be bound by them.

Haystack reserves the right to amend the Terms at any time to reflect the changes in the Service, in the agreement between Haystack and Haystack’s Customer or in the applicable laws. By continuing to use the Service, the User shall be deemed to have approved and accepted the amendments to the Terms and is bound by them. The amendments shall enter into force upon their publication in the Service.

Definitions

In these Terms, the following capitalized terms shall have the meanings given to them hereunder (and where the context so admits the singular shall include the plural and vice versa); “User” shall mean an individual person who uses the Service. “Haystack” refers to Haystack Team, Inc.

“Intellectual Property Rights” means (i) patents, inventions, designs, copyright and related rights, database rights, trademarks and related goodwill, trade names (whether registered or unregistered) and rights to apply for registration; (ii) proprietary rights in domain names; (iii) knowhow and confidential information; (iv) applications, extensions and renewals in relation to any of these rights; and (v) all other rights of a similar nature or having an equivalent effect anywhere in the world.

The Use of Service

Except as expressly permitted by these Terms or as reasonably necessary for the User’s own authorized use of the Service — including through integrations that Haystack makes available and that the User or the User’s Administrator enables, such as the AI Integrations described in the “Third-Party AI Integrations” section below — the User may not copy, modify, display, distribute, reproduce, license, publish, transfer, or sell to or for the benefit of any third party any information, products, software, or services obtained from the Service. This restriction is intended to prevent unauthorized redistribution, scraping, resale, and competitive misuse of the Service and its content. It does not restrict a User from accessing, viewing, or using content the User is authorized to access for the User’s own internal business purposes, including routing that content to authorized third-party tools at the User’s direction. The User remains responsible for ensuring that any content accessed or routed through such tools is content the User is permitted to access, and for complying with the User’s organization’s policies and any applicable Haystack customer or Administrator restrictions. The User shall be entirely responsible for maintaining the confidentiality of the User’s password and account. Furthermore, the User is entirely responsible for any and all activities that occur under the User’s account.

The User undertakes to inform Haystack without delay if any password has been revealed to a third party or if the User has a reason to suspect misuse of a username or password. The User shall change the password required for the use of the Service upon written request of Haystack if necessary due to data security risk to the Service.

The User undertakes not to use the Service for any purpose that is unlawful or prohibited by these Terms. The User may not attempt to gain unauthorized access to the Service, computer systems, other accounts or networks connected to any Haystack server, through hacking, password mining or any other means.

The User may not upload to the Service any material that infringes upon any third-party rights or applicable laws. By submitting any data to the Service, the User warrants that it has obtained all necessary rights, licenses and permissions under the applicable laws, decrees, regulations to submit the data to the Service. Additionally, the User may not upload to the Service any material that contains any viruses or other malware that may damage or interfere with the Service. The User undertakes not to use the Service in a way that endangers the functionality of the Service or the security of the Service.

Additionally, the User commits to maintaining a respectful and inclusive environment within the Service, strictly prohibiting any form of harassment, cyberbullying, use of racially insensitive language, or any other activity that undermines the dignity and respect of others. This includes, but is not limited to, refraining from posting or transmitting content that is discriminatory, offensive, or harmful in nature towards any individual or group based on race, gender, sexual orientation, religion, ethnicity, disability, or any other characteristic. The Service is dedicated to promoting a positive and welcoming space for all Users, free from intimidation, hostility, or any behavior that could contribute to a hostile environment. Users found violating these principles may face immediate suspension or termination of access to the Service.

Intellectual Property Rights

Haystack acknowledges that Haystack’s Customer may generate valuable intellectual property (“IP”) while utilizing the Service. Haystack’s Customer retains all rights, title, and ownership of any IP created or housed within the Service. Haystack maintains rights, title, interest, and ownership of the Service and any materials provided herein. However, Haystack does not claim ownership of Customer-generated IP. By using the Service, Haystack’s Customer grants Haystack a limited license to utilize Customer-generated IP solely for the purpose of providing and improving the Service. Any modifications, compilations, or derivative works thereof shall remain the property of Haystack’s Customer. Haystack agrees not to assert ownership over any Customer-generated IP.

Reproduction, transfer, distribution, or storage of content protected by Haystack’s Intellectual Property Rights, including but not limited to pictures, design format, logo, audio clips, video clips and HTML coding, in any form as well as any unauthorized reproduction, total or partial, of the texts, illustrations, design format or logo by any means whatsoever without the prior written permission of Haystack is prohibited.

Third-Party Website & Services

The Service may contain links to third-party websites or services that are not maintained, under the control of or owned by Haystack. For clarity, Haystack is not liable for any contents, commentary or applications of such third-party websites or services.

SMS Messaging & Notifications

Haystack provides SMS notification capabilities that allow for real-time updates published by platform administrators. The availability of SMS features is contingent upon the Administrator’s election to enable SMS functionality for their organization’s account. SMS messaging will not be active for any individual until an Administrator has explicitly activated the feature.

Once the feature is enabled at the organizational level, Users may voluntarily provide their mobile phone number to receive messages. By providing a mobile number and opting in, Users consent to receive service-related text messages. Users may manage their individual communication preferences, opt in, or opt out at any time via their Notification Preferences page. Users may also opt out by replying “STOP” to any SMS message received from Haystack. Standard message and data rates from the User’s mobile carrier may apply. Message frequency will vary based on organizational settings, account activity, and specific notification settings selected by the User. Haystack is not liable for delayed or undelivered messages resulting from carrier issues or network failures.

Mobile phone numbers provided for SMS purposes will never be shared with third parties or affiliates for marketing or promotional purposes.

Third-Party AI Integrations

Haystack offers optional integrations that let Users connect their Haystack workspace to third-party artificial-intelligence assistants and platforms, including OpenAI’s ChatGPT, Anthropic’s Claude, Slack (including Slackbot), and other similar assistants or platforms Haystack makes available from time to time, using the Model Context Protocol (“MCP”) or a comparable protocol (each, an “AI Integration”; each such assistant or platform provider, an “AI Provider”). By enabling and using any AI Integration, the User agrees to the following, which supplement these Terms:

Authorized feature.  Each AI Integration that Haystack makes generally available is an authorized part of the Service. It is optional and is off by default. The User’s organization or its Administrator controls whether an AI Integration is available to the organization’s Users. A User may install an available AI Integration from the AI Provider’s directory and connect by accepting the consent notice presented at installation and authenticating through Haystack’s secure authorization (OAuth) flow. The User’s organization may also ask Haystack to enable, restrict, or disable an AI Integration for the workspace or for particular Users.

Authorized return of results.  When a User submits a request through a connected AI assistant or platform, the User authorizes Haystack to return the requested workspace results to that assistant or platform so they can be presented to the User. This return of results is made at the User’s direction and request.

Only authorized content.  An AI Integration returns only content the User is already authorized to access in Haystack. Each AI Integration Haystack currently makes generally available is limited to searching and returning workspace content and does not create, modify, or delete content in the workspace. The User must only search for, retrieve, and share content the User is permitted to access, and must not use an AI Integration to obtain or disclose content beyond the User’s authorization or in violation of the User’s organization’s policies.

Provider terms govern the assistant or platform.  Once workspace results are transmitted to a connected assistant or platform, the AI Provider handles that data under its own terms and privacy policy, and not under these Terms or Haystack’s Privacy Policy. For example, OpenAI’s terms of use and privacy policy are available at https://openai.com/policies, Anthropic’s are available at https://www.anthropic.com/legal, and Slack’s are available at https://slack.com/legal. The User is responsible for reviewing the applicable AI Provider’s terms.

No control over AI responses.  Responses generated by a connected AI assistant or platform are produced by the applicable AI Provider, not by Haystack. Haystack does not control, review, endorse, or guarantee the accuracy, completeness, or appropriateness of any AI-generated response and is not responsible for actions taken in reliance on it.

Revocation and Administrator restrictions.  The User may disconnect an AI Integration at any time by turning off the connector in the connected assistant’s or platform’s own connector or app settings, which ends that assistant’s or platform’s access to the User’s workspace through the integration. The User’s Administrator may disable or restrict an AI Integration for the workspace or for particular Users through the controls Haystack or the AI Provider makes available, or by request to Haystack, and Haystack invalidates the outstanding refresh tokens for the affected connections. Customer- and Administrator-level restrictions on the Service continue to apply to each AI Integration, and Haystack may suspend or disable an AI Integration where necessary to protect the Service or enforce these Terms.

Credentials and misuse.  OAuth credentials, tokens, and access granted for an AI Integration are specific to the authorized User and workspace and may not be shared, transferred, or misused. The User is responsible for activity conducted through the User’s authorized connection and must promptly notify Haystack of any suspected unauthorized use.

Nothing in this section limits any other provision of these Terms, including the restrictions on unauthorized redistribution and misuse of the Service set out in “The Use of Service” above.

Suspension of Service

Haystack shall be entitled to deny the User’s access to the Service without first hearing the User if Haystack reasonably suspects that the User uses the Service contrary to these Terms, applicable laws, or administrative orders or in a manner that jeopardizes the provision of the Services to other Users.

Order of Precedence

Should there be any discrepancies or inconsistencies among the documents governing the use of the Service, they will be resolved according to the following hierarchy of precedence: (i) Order Forms and the accompanying Master Subscription Agreement take precedence; (ii) the Data Processing Agreement (“DPA”), applicable only in the context of Personal Data processing, follows; (iii) these Terms of Use come next in the hierarchy; and (iv) finally, any other annexes are considered, with priority given in descending order of their presentation.
